VILLAGEKARE TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern your access to and use of the VillageKare website, applications, and related services (collectively, the “Platform”). By creating an account or using the Platform, you agree to be legally bound by these Terms.
PART I: GENERAL TERMS (ALL USERS)
1. PLATFORM ROLE — NEUTRAL MARKETPLACE ONLY
VillageKare is a neutral online marketplace that facilitates connections between individuals or families seeking care or support services (“Care Seekers”) and independent individuals or entities offering care or support services (“Care Providers”). VillageKare does not employ, engage, supervise, manage, or control Care Providers; does not act as an employer, agent, broker, or care agency; and does not provide, deliver, or oversee care or support services.
VillageKare does not set work schedules, service methods, pricing, or performance standards, and does not guarantee safety, quality, legality, suitability, or outcomes of any services. All care arrangements and interactions occur solely between users. VillageKare has no duty to monitor, supervise, intervene in, or control user interactions or care arrangements.
2. NO EMPLOYMENT OR AGENCY RELATIONSHIP
No employment, agency, joint venture, partnership, fiduciary, or similar relationship is created between VillageKare and any user. Care Providers are not employees of VillageKare.
California Worker Classification Acknowledgment (AB5 / ABC Test)
Users acknowledge that California law, including Assembly Bill 5 (AB5) and the “ABC test” (as codified in California Labor Code §2775 et seq.), governs worker classification. VillageKare does not determine, advise on, control, or guarantee whether any Care Provider is properly classified as an employee or independent contractor.
Any determination of employment status, worker classification, tax treatment, wage obligations, benefits, or labor law compliance is made solely between users. VillageKare expressly disclaims any responsibility or liability arising from worker classification decisions or misclassification claims.
3. ELIGIBILITY & ACCOUNT RESPONSIBILITY
You must be at least 18 years old and legally capable of entering contracts. You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.
4. CARE ARRANGEMENTS & USER RESPONSIBILITIES
All care arrangements are direct agreements between users, and VillageKare is not a party to any such agreement.
Care Seekers are solely responsible for screening, interviewing, vetting, hiring, supervising, training, managing, and terminating Care Providers, as well as for disclosure of all risks, medical oversight, safety planning, and compliance with applicable laws.
Care Providers are solely responsible for determining which services to offer, whether to accept work, providing services within their qualifications and licensure, and for their own taxes, insurance decisions, and legal compliance.
VillageKare does not participate in, direct, or oversee care delivery or employment relationships.
5. BACKGROUND CHECKS & SCREENING DISCLAIMER
VillageKare may provide access to third-party background check services as a convenience only. Background checks are informational, may be incomplete or inaccurate, and do not guarantee safety.
Users agree that they do not rely on background check information provided through the Platform as a guarantee of safety, suitability, or qualification.
6. NO MEDICAL OR PROFESSIONAL SERVICES
VillageKare is not a healthcare or professional services provider and does not provide medical, therapeutic, behavioral, or professional advice, diagnosis, or supervision.
7. SPECIAL NEEDS & HIGH-RISK CARE DISCLAIMER
Care involving disabilities, behavioral challenges, or medical needs involves heightened risk. Care Seekers assume full responsibility for disclosure, training, safety, and emergency preparedness.
8. PAYMENTS & FEES
VillageKare may facilitate payments or subscriptions but is not responsible for payment disputes, wage compliance, or off-platform transactions.
Third-Party Service Providers
VillageKare uses third-party service providers to operate, maintain, and improve the Platform. These services may include, without limitation, payment processing, background check facilitation, identity verification, data hosting, analytics, customer communications, and security.
VillageKare does not control, operate, or assume responsibility for the products, services, actions, or omissions of third-party service providers. Use of such services is subject to the providers' own terms, conditions, and privacy policies.
VillageKare makes no representations or warranties regarding third-party services and disclaims all liability arising from their availability, performance, accuracy, or security.
9. INSURANCE (NO REQUIREMENT; NO REPRESENTATIONS)
VillageKare does not require, verify, review, or endorse insurance coverage and makes no representations that any user is insured. Any decision to obtain or not obtain insurance is made independently and does not create any obligation or responsibility for VillageKare.
10. ASSUMPTION OF RISK
You knowingly assume all risks associated with using the Platform and interacting with other users.
11. RELEASE OF LIABILITY (CALIFORNIA)
You release VillageKare from all claims arising from Platform use or care arrangements and expressly waive California Civil Code §1542.
12. LIMITATION OF LIABILITY
VillageKare's total liability shall not exceed the lesser of $100 or fees paid in the prior 12 months.
13. INDEMNIFICATION
You agree to indemnify and hold harmless VillageKare from claims arising from your conduct or Platform use.
14. DISPUTE RESOLUTION & ARBITRATION
All disputes shall be resolved by binding arbitration administered by the AAA in California under the Federal Arbitration Act. All claims must be brought in an individual capacity only. No class, collective, or representative actions are permitted.
15. DISCLAIMERS
The Platform is provided “AS IS” without warranties of any kind.
16. GENERAL TERMS
These Terms are governed by the laws of the State of California without regard to conflict-of-law principles. These Terms, together with the Privacy Policy, constitute the entire agreement.
17. MODIFICATION & TERMINATION
VillageKare may modify these Terms at any time by posting an updated version on the Platform. Continued use constitutes acceptance of the modified Terms. VillageKare may suspend or terminate access at any time, with or without notice.
